Terms of Service

Effective date: 1 January 2025

These terms apply to Company operating as iQhawe Studios, South Africa.

1. Acceptance of Terms

By accessing our website or engaging the services of iQhawe Studios ("we", "our", or "us"), you agree to be bound by these Terms of Service and all applicable South African laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site. These terms constitute a binding agreement between you and [Insert Name], trading as iQhawe Studios.

2. Services

iQhawe Studios provides digital services including, but not limited to: • Website design and development • Digital marketing and social media management • E-commerce store setup and management • Business automation and systems integration • Branding and graphic design The specific scope, deliverables, timelines, and pricing for each engagement will be outlined in a separate Service Agreement or Proposal issued to the client prior to commencement of work.

3. Quotations and Payment

All quotations provided by iQhawe Studios are valid for 14 (fourteen) calendar days from the date of issue unless otherwise stated. Acceptance of a quotation constitutes agreement to the outlined scope and pricing. Payment terms will be specified in the relevant invoice or service agreement. We reserve the right to suspend or withhold delivery of services in the event of non-payment. Late payments may attract interest at the rate prescribed under the National Credit Act or as agreed in writing.

4. Intellectual Property

Upon receipt of full payment, all custom creative work produced by iQhawe Studios for a client (including website designs, graphics, and written content) will be assigned to the client. iQhawe Studios retains the right to: • Display completed work in our portfolio and marketing materials • Retain ownership of any proprietary tools, frameworks, templates, or code libraries used in the delivery of services Third-party assets (stock images, fonts, plugins, themes) remain subject to their respective licence agreements.

5. Client Responsibilities

The client agrees to: • Provide accurate, complete, and timely information required for the delivery of services • Review and provide feedback within agreed timelines • Ensure they have the legal right to use any content, images, or materials supplied to iQhawe Studios • Not use our services for any unlawful, harmful, or fraudulent purpose

6. Revisions and Scope Changes

Each project includes a defined number of revision rounds as specified in the service agreement. Requests for changes that fall outside the agreed scope will be quoted separately and may affect project timelines. iQhawe Studios will notify the client in writing before proceeding with any out-of-scope work.

7. Limitation of Liability

To the fullest extent permitted by South African law, iQhawe Studios shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or website, including but not limited to loss of revenue, data, or business opportunities. Our total liability to any client shall not exceed the total fees paid by that client for the specific service giving rise to the claim.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of any service agreement. iQhawe Studios will not disclose client business information to third parties without prior written consent, except as required by law.

9. Termination

Either party may terminate a service agreement with 14 (fourteen) days' written notice. In the event of termination, the client shall pay for all work completed up to the termination date. iQhawe Studios reserves the right to terminate services immediately in cases of non-payment, breach of these terms, or unlawful conduct.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these terms or our services shall be subject to the jurisdiction of the South African courts.

11. Amendments

iQhawe Studios reserves the right to update or modify these Terms of Service at any time. Updated terms will be posted on this page with a revised effective date. Continued use of our website or services after any changes constitutes acceptance of the revised terms.
